1. About these Terms

These Terms apply to your use of the Site only. They do not, on their own, create any consultancy, advisory, or other engagement between you and MIBTY. Any engagement we enter into with you will be governed by a separate written agreement.

2. About MIBTY

MIBTY NIG LTD is a private company limited by shares, incorporated under the Companies and Allied Matters Act 2020, with its registered office in Lagos State, Nigeria.

3. Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. Without limiting that obligation, you agree not to:

• Use the Site in any way that violates any applicable law or regulation.
• Use any automated means (including bots, crawlers, scrapers, or harvesters) to access, monitor, or copy the Site, except where expressly permitted by our robots.txt or with our prior written consent.
• Attempt to gain unauthorised access to the Site, the server on which it is stored, or any related system or network.
• Interfere with or disrupt the integrity or performance of the Site, including by transmitting viruses, malware, or other harmful code.
• Use the Site to send unsolicited communications, including by submitting the contact form for purposes other than a bona fide inquiry.
• Misrepresent your identity or affiliation with any person or entity when contacting us through the Site.

4. Intellectual property

All content on the Site — including text, design, source code, images, illustrations, the MIBTY name and logo, and the selection and arrangement of the Site — is owned by or licensed to MIBTY and is protected by Nigerian and international intellectual property laws.

You may view, share, and link to publicly available pages of the Site for non-commercial personal use. You may not reproduce, modify, distribute, publicly display, or create derivative works from the Site or any part of it without our prior written permission, except as permitted by applicable law.

Trademarks and logos of third parties shown on the Site are the property of their respective owners.

5. Inquiries and submissions

Information you submit to us through the contact form or by email is not treated as confidential by virtue of submission alone. If you intend to share confidential information with us, please ask us to enter into a non-disclosure agreement first.

We make no commitment to respond to any unsolicited submission. Responding to an inquiry does not, on its own, create an engagement, a duty of care, or any other professional relationship.

6. Information on the Site

The information on this Site is provided for general informational purposes only. While we take reasonable care to ensure that information is accurate and up to date, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability of the Site or any information, products, services, or related graphics contained on it for any purpose.

The Site may contain links to, or embeds of, third-party websites or services that are not controlled by MIBTY (for example, a calendar booking provider). We have no control over the content, privacy practices, or availability of those sites and accept no responsibility for them. Accessing them is at your own risk and subject to their own terms.

To the maximum extent permitted by law, the Site is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. We do not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components.

To the maximum extent permitted by law, MIBTY, its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or anticipated savings, arising out of or in connection with your use of, or inability to use, the Site — even if MIBTY has been advised of the possibility of such damages.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

10. Indemnity

You agree to indemnify and hold harmless MIBTY and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your breach of these Terms or your misuse of the Site.

11. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Subject to your rights under applicable consumer-protection law, you agree that the courts of Lagos State, Nigeria, will have exclusive jurisdiction to resolve any such dispute or claim.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “effective date” shown at the top of the page. Continued use of the Site after a change becomes effective constitutes acceptance of the revised Terms.
